Position Overview

The Manager, Governance and Operations, plays a pivotal role in supporting Co-Impact’s corporate governance and operational alignment. This Nairobi-based remote position reports to the Chief Operating Officer (COO) and Corporate Secretary, while working closely with the Associate Director, Partnerships.

This role anchors key internal processes and board engagement efforts. Responsibilities include managing governance logistics, coordinating internal communications, supporting operational planning, and contributing to strategic projects that enhance organizational effectiveness.

Key Responsibilities

1. Governance and Board Support

  • Lead project tracking for governance-related initiatives and ensure timely delivery across teams.
  • Coordinate virtual and in-person meetings of the Board of Directors, Advisory Board, and related committees.
  • Draft agendas and serve as the main liaison for governance team coordination.
  • Assist with onboarding and ongoing engagement of board and advisory members.
  • Collaborate with the Executive Assistant to the CEO to align schedules and agendas for executive-level meetings.
  • Review and format board materials, ensuring professional presentation and timely access through the board portal.
  • Maintain accurate and up-to-date governance records.
  • Support the COO in documentation and minute-taking during board engagements.

2. Operational Alignment and Communication

  • Partner with the COO in setting and tracking annual Objectives and Key Results (OKRs).
  • Maintain the Operations team’s annual work plan.
  • Coordinate the production and publication of the quarterly operations dashboard.
  • Manage internal communications for the Operations team, including weekly updates and retreats.
  • Draft operational sections of donor reports and funding proposals.
  • Maintain the team’s internal resource hub and knowledge repository on Gitbook.
  • Serve as the main contact for correspondence via Co-Impact’s remote mail service provider.

3. Strategic Projects and Support

  • Contribute to cross-functional projects and special assignments from the COO.
  • Provide high-quality execution of time-sensitive tasks aligned with organizational values and goals.

Required Qualifications

  • Bachelor’s degree in business administration, operations, or a related field (MBA preferred).
  • 5–7 years of relevant experience in governance, project management, or nonprofit operations.
  • Prior work with boards or senior leadership teams is highly desirable.
  • Strong organizational, writing, and communication skills.
  • Proficiency in Microsoft Office, Google Workspace, and cloud-based collaboration tools.
  • Ability to manage sensitive information with discretion and professionalism.
  • Fluency in English required; additional languages are a plus.
  • Comfortable working in a fast-paced, multicultural, and remote-first environment.

Compensation and Benefits

Co-Impact offers a competitive salary of $112,000 and a generous benefits package, including substantial paid time off. The organization follows a transparent, equitable compensation policy and does not negotiate salary offers to ensure fairness across the team.
